When a client seeks to acquire property in a merger or acquisition, Kramer & Amado performs due diligence analysis of the acquired properties to assess their value and any potential liabilities. Our due diligence review helps to formalize the value of potential property by uncovering factors such as ownership and merits of the property based on similar intellectual property held by others. When clients wish to license technologies to others, our attorneys will advise on reasonable royalty rates and negotiate the agreement on the client’s behalf. We will then draft a licensing agreement to formalize the proper transfer of rights.
